Terms & Conditions

Effective Date: October 5, 2025

These Terms & Conditions govern your use of Sabari Construction's services and are legally binding under Indian law, including the Indian Contract Act, 1872.

1. Services offered

  • New construction (residential, commercial, villas)
  • Renovation and remodeling services
  • Architectural design and drawings
  • Project management and supervision
  • Government approvals assistance
  • Quantity surveying and cost estimation
  • Quality control and third-party inspection
  • Interior design services

2. Scope of work

  • Project Definition: All work scope, specifications, timelines, and costs will be detailed in individual project agreements
  • Approvals: Clients are responsible for obtaining necessary permissions unless specifically agreed otherwise
  • Site Access: Clients must ensure safe and timely site access for our team and equipment
  • Material Standards: We use quality materials meeting Indian Standards (IS codes) and local building regulations

3. Quotations and estimates

  • Quotations are valid for 30 days from the date of issue
  • Prices are subject to change based on material cost fluctuations and project modifications
  • Additional work beyond the original scope will be charged separately, with prior approval

4. Payment terms

  • Payment Schedule: As specified in individual project agreements (typically milestone-based)
  • Methods: Bank transfer, cheque, or other mutually agreed methods
  • Taxes: All applicable taxes (GST, TDS) as per Indian taxation laws
  • Late Payments: May attract interest charges as specified in the project agreement
  • Advance: Typically 10-25% advance payment is required to commence work

5. Project timelines

  • Commencement: Work begins after receipt of advance payment and necessary approvals
  • Completion: As per the agreed timeline in the project agreement
  • Extensions: Time extensions may be granted for reasons beyond our control (weather, material shortages, regulatory delays, force majeure)
  • Penalties: As mutually agreed in project-specific contracts

6. Quality standards and warranty

  • Workmanship: All work adheres to Indian construction standards and best practices
  • Materials: Quality materials sourced from reputable suppliers
  • Warranty: Structural work: 5-10 years, Finishing work: 1-2 years (specific terms in project agreements)
  • Defect Liability Period: 12 months from project completion for addressing construction defects

7. Client responsibilities

  • Provide accurate project requirements and specifications
  • Ensure timely payments as per agreed schedule
  • Obtain necessary statutory approvals (where applicable)
  • Provide safe site access and utilities (water, electricity)
  • Make timely decisions to avoid project delays

8. Contractor responsibilities

  • Execute work as per agreed specifications and timeline
  • Ensure compliance with safety regulations and building codes
  • Provide a skilled workforce and quality materials
  • Maintain site cleanliness and safety standards
  • Provide regular project updates to clients

9. Variations and change orders

  • Changes to the original scope require written approval from both parties
  • Additional costs for variations will be communicated and approved before execution
  • Change orders may impact project timelines and costs

10. Force majeure

Neither party shall be liable for delays or failures due to:

  • Natural disasters, floods, earthquakes
  • Government actions, regulatory changes
  • Labor strikes, material shortages
  • Other circumstances beyond reasonable control

11. Insurance and liability

  • Contractor's Insurance: We maintain appropriate insurance coverage for our operations
  • Client's Insurance: Clients advised to maintain property and liability insurance
  • Limitation of Liability: Our liability is limited to the contract value and excludes indirect or consequential damages
  • Third-Party Claims: Handled as per applicable laws and insurance coverage

12. Intellectual property

  • Designs and Plans: Remain our property until full payment is received
  • Usage Rights: Clients receive usage rights for the specific project upon full payment
  • Modifications: Clients may not modify or reproduce designs without written permission

13. Termination

  • Material Breach: Non-payment, failure to perform, or violation of terms
  • Convenience: With 30 days' notice and settlement of outstanding obligations
  • Force Majeure: Extended delays beyond 90 days due to circumstances beyond control

Termination Consequences:

  • Payment for work completed up to the termination date
  • Return of advance payments for incomplete work (after deducting costs incurred)
  • Handover of site and materials as per mutual agreement

14. Dispute resolution

  • Negotiation: Good faith negotiation as the first step
  • Arbitration: Disputes resolved through arbitration under the Arbitration and Conciliation Act, 1996
  • Jurisdiction: The Courts of Madurai, Tamil Nadu, India, have exclusive jurisdiction
  • Governing Law: These terms are governed by Indian law

15. Compliance and regulatory adherence

  • Building Codes: All work complies with the National Building Code of India and local regulations
  • Environmental: Adherence to environmental clearance requirements where applicable
  • Labor Laws: Compliance with labor laws, including the Building and Other Construction Workers Act, 1996
  • Safety Standards: Implementation of safety protocols and accident prevention measures

16. Confidentiality

  • Both parties agree to maintain the confidentiality of proprietary information
  • Client project details and business information kept confidential
  • Non-disclosure of trade practices and business methods

17. General provisions

  • Entire Agreement: These terms, along with project-specific agreements, constitute the entire agreement
  • Amendments: Changes require a written agreement signed by both parties
  • Severability: Invalid provisions do not affect the validity of the remaining terms
  • Waiver: Waiver of any provision must be in writing
